Terms of Service

Rvply Version 1.0, effective 3 August 2026

1. Who these terms are between

These terms govern your use of Rvply, operated by ShipIt Digital, registered with the Dutch Chamber of Commerce under number 85945579, with its office at Torresstraat 50, 1056 RV Amsterdam, Nederland ("we", "us", "Rvply").

"You" means the business that creates an account. By creating an account you confirm that you are authorised to enter into this agreement on behalf of that business.

2. Rvply is a business service only

Rvply is offered exclusively to businesses acting in the course of a trade or profession. It is not offered to consumers, and consumer protection rules under Dutch law do not apply to this agreement.

You must be at least 18 years old and legally able to enter into contracts.

3. What the service does

Rvply connects to your Google Business Profile, reads the reviews of the locations you select, generates draft replies using artificial intelligence, and publishes replies that you or your authorised users have configured to be published.

We provide the software. We do not provide reputation management advice, legal advice, or any guarantee about your rating, ranking, or business outcomes.

4. Your account and your users

You are responsible for everything done under your account, including by your employees and any agency you invite.
You must keep credentials secure and tell us immediately if you suspect unauthorised access.
You may invite additional users and assign them roles. You remain responsible for what they do.

5. What you must and must not do

You must:

Only connect Google Business Profile locations that you own or are authorised to manage. If you are an agency, you must have your client's permission.
Review the reply settings you configure and understand their consequences. Enabling fully automatic publishing is your decision.
Comply with Google's Business Profile policies, including its policies on review replies.

You must not:

Use Rvply to publish content that is unlawful, defamatory, discriminatory, threatening, or that infringes anyone's rights.
Use Rvply to reply to reviews on locations you do not control.
Attempt to manipulate ratings, solicit fake reviews, or use the service in any way that would violate Google's policies.
Reverse engineer, resell, or provide the service to third parties as your own product without a written agreement with us.
Circumvent usage limits, or use automated means to extract data from the application beyond the features we provide.

We may suspend an account that we reasonably believe is being used in breach of this section. Where practical we will contact you first.

6. Replies generated by artificial intelligence

Read this section carefully. It concerns text published publicly under your business name.

Rvply generates draft replies using a third-party AI model. AI output can be wrong, inappropriate, or unsuitable for a given situation.
You are the publisher of every reply that appears under your business name. You are responsible for its content, whether you approved it manually or configured the service to publish it automatically.
We build in safeguards: replies to reviews of three stars or below require approval by default, drafts flagged by our safety checks always require approval, and every draft is checked for similarity against your recent replies. These safeguards reduce risk. They do not eliminate it and we do not warrant that they will catch every problematic draft.
If you enable automatic publishing, you accept that replies will be published without prior human review, and you accept responsibility for those replies.
We are not liable for the consequences of a published reply, including reputational harm, loss of custom, or any claim brought by a reviewer or a third party, except where the loss results from our intent or gross negligence.

You should not use automatic publishing for locations where a wrong reply could cause serious harm, for example where reviews concern health, safety, or legal disputes.

7. Our dependence on Google

Rvply depends entirely on access to Google's Business Profile APIs, which Google controls.

Google may change, restrict, suspend or withdraw that access at any time, with or without notice, for reasons outside our control.
Google may reject a reply for violating its policies. We will show you the reason Google gives, but we cannot overrule it.
If Google withdraws or materially restricts our access, we may have to suspend or discontinue the service. In that case we will notify you as soon as we can and refund any prepaid fees for the period you can no longer use.

This is a real risk of the product and you accept it by using the service.

8. Plans, fees and payment

Current plans and prices are shown at https://rvply.nl/prijzen. Prices are exclusive of VAT.
Subscriptions are billed monthly or annually in advance. The payment processor we use is named on https://rvply.nl/subprocessors, along with every other party that handles data on your behalf.
VAT is applied according to your location and status. For business customers in the EU outside the Netherlands with a valid VAT number, the reverse charge mechanism applies.
Each plan includes a number of locations and a monthly reply allowance. If you reach your allowance, reply generation pauses. Reading and viewing your reviews continues to work. You can upgrade at any time.
We may change prices. We will give at least 30 days' notice by email, and the change takes effect at your next renewal. If you do not accept it, you may cancel before it takes effect.

9. Trial

We offer a free trial of 14 days. No payment details are required to start it. At the end of the trial the service stops unless you choose a paid plan. We do not automatically convert a trial into a paid subscription.

During the closed beta, Rvply takes no payment. Sections 8 and 10 describe how subscriptions work once it does, and they take effect for you at the moment you choose a paid plan. Until then there is nothing to bill, nothing to renew and nothing to cancel: you can stop using Rvply whenever you like, and deleting your account from the account screen removes everything.

10. Term, cancellation and termination

Subscriptions run for the period you selected and renew automatically for the same period unless cancelled.
You may cancel at any time from your account. Cancellation takes effect at the end of the current paid period. We do not refund a partial period.
We may terminate this agreement with 30 days' notice.
Either party may terminate immediately if the other commits a material breach and does not remedy it within 14 days of written notice.
On termination we stop processing, delete your data in accordance with the Data Processing Agreement, and your access ends.

11. Availability

We aim to keep Rvply available, but we do not offer a service level guarantee on any plan. Planned maintenance will be announced in advance where possible. We are not liable for downtime caused by Google, Anthropic, our hosting provider, or any other third party.

12. Intellectual property

We own the software, design and everything else that makes up Rvply. Nothing in this agreement transfers that to you.
You own your data: your business information, your reviews, your brand voice settings, and the reply text as published.
You grant us a limited licence to process your data solely to provide the service, as described in the Data Processing Agreement.
You may not use our name, logo or branding without written permission, except to state truthfully that you use Rvply.

13. Confidentiality

Each party will keep the other's non-public information confidential and use it only for this agreement. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

14. Liability

Nothing in these terms excludes liability for intent, gross negligence, death or personal injury, or anything else that cannot be limited under Dutch law.
Subject to that, our total liability in any 12-month period is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
We are not liable for indirect or consequential loss, including loss of profit, loss of custom, loss of goodwill, reputational harm, or loss of data, except where caused by our intent or gross negligence.
You indemnify us against claims by third parties, including reviewers, arising from content published under your business name through Rvply, unless the claim results from our intent or gross negligence.

15. Data protection

We process personal data on your behalf as your processor. The Data Processing Agreement at https://rvply.nl/dpa forms part of this agreement and is accepted when you create an account. How we handle data as a controller is described in our Privacy Policy at https://rvply.nl/privacy.

16. Changes to the service and to these terms

We continue to develop Rvply and may change or remove features. If we remove a feature you materially rely on, we will give at least 30 days' notice.
We may change these terms. We will notify you by email at least 30 days before a material change takes effect. If you do not accept it, you may cancel before it takes effect. Continuing to use the service after that date means you accept the new terms.

17. Assignment

You may not transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition or sale of assets, and will tell you if we do.

18. Governing law and jurisdiction

This agreement is governed by the law of the Netherlands. Disputes will be brought before the competent court in Amsterdam, unless mandatory law requires otherwise.
